GENERAL TERMS AND CONDITIONS – Burggraaf Canvas

Article 1 – Definitions 

1.1 Contractor: Burggraaf Canvas, located at Fregat 1, Uithoorn, registered with the Dutch Chamber of Commerce under number 50777548. 
1.2 Client: any natural or legal person entering into an agreement with the Contractor. 
1.3 Products: canvas sails and related accessories. 
1.4 Agreement: any agreement between the Contractor and the Client regarding the delivery of Products or Services.

 

Article 2 – Applicability 

2.1 These terms and conditions apply to all offers, quotations, assignments, and agreements of the Contractor. 
2.2 Deviations from these terms are only valid if explicitly agreed upon in writing.

 

Article 3 – Quotations and Prices 


3.1 All quotations are non-binding, unless stated otherwise. 
3.2 Prices are in euros and include VAT. 
3.3 Quotations are valid for 30 days unless stated otherwise.

Article 4 – Formation of the Agreement 

4.1 The agreement is established after written confirmation by the Contractor or when the Contractor commences execution. 
4.2 Verbal agreements are only binding if confirmed in writing.

 

Article 5 – Delivery 

5.1 Delivery times are indicative. Delays in delivery do not entitle the Client to compensation or cancellation. 
5.2 Delivery takes place ex-works, unless agreed otherwise. 
5.3 Shipping and transportation costs are borne by the Client.

 

Article 6 – Custom Products 

6.1 For custom-made products, a tolerance of up to ±5% in dimensions applies. 
6.2 The Client is responsible for providing correct measurements and specifications. 
6.3 Custom-made products cannot be returned unless there are demonstrable manufacturing defects.

 

Article 7 – Payment 

7.1 Payment must be made within 14 days of the invoice date. 
7.2 If the payment term is exceeded, the Client is legally in default and statutory interest will be charged. 
7.3 All (extra) judicial collection costs are to be paid by the Client.


Article 8 – Retention of Title 

8.1 All delivered products remain the property of the Contractor until full payment has been received.


Article 9 – Warranty and Liability 

9.1 Custom-made products are warranted against material and manufacturing defects for 6 months after delivery. 
9.2 The Contractor is not liable for indirect or consequential damages. 
9.3 Liability is limited to the invoice amount of the relevant product.

 

Article 10 – Force Majeure 

10.1 In the event of force majeure, the Contractor has the right to suspend or dissolve the agreement without being liable for damages. 
10.2 Force majeure includes, among others: war, government measures, strikes, transport problems, natural disasters, and pandemics.

 

Article 11 – Applicable Law and Disputes 

11.1 All agreements are governed by Dutch law. 
11.2 Disputes will be submitted exclusively to the competent court in the district where the Contractor is located.
